We are seeking an experienced and detail-oriented Compliance Manager to oversee and manage all regulatory and compliance matters of an SGX-listed REIT. Reporting directly to the CEO, the ideal candidate will ensure full adherence to SGX, MAS and other relevant regulatory requirements, while also fostering a strong culture of compliance and governance within the organization.
Key Responsibilities:
- Serve as the main point of contact for all compliance-related matters, including correspondence with the SGX, MAS and other regulatory bodies.
- Monitor and ensure compliance with applicable laws, regulations, and listing rules, including the Securities and Futures Act, Code on Collective Investment Schemes and REIT regulations.
- Develop, implement and update compliance policies, manuals and frameworks to ensure best practices in corporate governance.
- Conduct internal compliance reviews and risk assessments; identify potential areas of compliance vulnerability and recommend corrective actions.
- Oversee the submission of periodic and ad hoc regulatory filings, disclosures, and announcements.
- Advise management and the Board on regulatory changes and their implications on the REIT's operations and strategy.
- Coordinate and support external audits, regulatory inspections, and board reporting on compliance matters.
- Facilitate compliance training and awareness programs across the organization.
- Support the CEO and management team on matters related to corporate governance and board administration.
Requirements:
- Bachelor’s degree in Law, Accountancy, Business, Finance, or a related field.
- Minimum 5 years of relevant experience in compliance, preferably within a REIT, real estate or financial services environment.
- Strong knowledge of SGX listing rules, MAS regulations and REIT guidelines.
- Proven ability to interpret and apply regulations in a practical business context.
- High level of integrity, discretion and professional ethics.
- Strong analytical, communication and interpersonal skills.
- Ability to work independently and manage multiple stakeholders.
- Knowledge in ESG and Sustainbility reporting will be added advantage.
Preferred Qualifications:
- Prior experience in a compliance or risk role within an SGX-listed company or REIT.
- Familiarity with corporate secretarial duties or board governance will be an advantage.
- Professional certifications such as CAMS, ICA, or equivalent will be beneficial.
