General Position Summary

This position exists to provide legal support to the Company’s attorneys and records manager. Primary focus will be the support of in-house and external lawyers with the documentation of commercial aircraft purchase, sale, lease and financing transactions.

Essential Job Functions

  • Support attorneys in the documentation/implementation of transactions and other legal affairs of the Company; coordinate efforts with outside counsel and paralegals.
  • Assist with transaction closings, drafting conditions precedent and distributing closing documents.
  • Ensure that documents, especially corporate formation documents, certificates and the like, are completed, executed, filed and/or positioned in a timely manner.
  • Form, qualify and dissolve corporate entities, as needed; prepare corporate approvals and powers of attorney; prepare, maintain, and organize Company records (including paper files, minute books and subsidiary database, and reviewing and drafting corporate minutes and resolutions).
  • Support records manager by creating transaction binders and digital closing sets.
  • Coordinate with Singapore service providers, as necessary, for Singapore corporate secretarial matters.
  • Perform special projects as may be required by the Company’s attorneys.

  • Must have excellent communication, organization and interpersonal skills.
  • Must be able to handle several projects simultaneously, prioritize demands and meet deadlines.
  • Must have the ability to work both independently and as part of a highly collaborative team effort in a fast-paced environment.
  • Experience with international legal entities (US, Ireland, U.K. and France) is a plus.
  • Firm uses MS Word, Excel, Outlook, SharePoint and PowerPoint and Adobe Acrobat.

Qualifications and Requirements[1]

Education & Work Experience

  • Bachelor’s degree or diploma required.
  • A minimum of 3 years of aircraft leasing experience is required.
  • A minimum of 3-5 years’ experience as a corporate paralegal or attorney at a law firm, including aviation experience. In-house legal department experience is a plus.

Certificates & Licenses

  • Legal or paralegal certification is preferred but not required. Must be in good standing in the jurisdiction of admission.

Travel

  • Business travel will be required on occasion.
