Job Summary

We are looking for an experienced and self-driven Senior Corporate Secretarial Executive to lead corporate secretarial and governance matters across our group of companies. This role will support the company’s broader corporate and regulatory compliance framework, including readiness for cross-border capital market activities. The role offers direct exposure to senior leadership and board-level stakeholders and plays a key part in shaping our governance infrastructure. The ideal candidate will support both Singapore and Hong Kong corporate entities and ensure compliance with applicable statutory, regulatory, and listing requirements.

Roles & Responsibilities

  • Manage corporate secretarial functions for Singapore entities and Hong Kong subsidiary (including listed or pre-IPO entities).
  • Ensure compliance with the relevant statutory and regulatory requirements across jurisdictions, including corporate laws, company filings and disclosure obligations e.g. Singapore Companies Act, Hong Kong Companies Ordinance, and HKEX Listing Rules.
  • Support the preparation and coordination of board, board committee, and shareholder meetings—agenda, notices, papers, resolutions, and minutes.
  • Draft and review Directors’ and Shareholders’ resolutions for both Singapore and Hong Kong entities.
  • Draft and review complex corporate resolutions, board papers, and documentation related to transactions, financing and corporate restructuring.
  • Handle incorporation, ongoing corporate secretarial administration, and striking-off procedures across jurisdictions.
  • Maintain and update statutory registers and records, including filings with ACRA (Singapore) and CR/HKEX (Hong Kong).
  • Coordinate the timely filing of AGM, EGM, annual returns, and other regulatory submissions.
  • Assist with corporate governance documentation, including disclosures, announcements, and other compliance submissions to HKEX.
  • Assist with the preparation or review of XBRL reports (an advantage).
  • Support administration of offshore companies (an advantage).
  • Assist in the incorporation and management of regional subsidiaries.
  • Liaise with external corporate service providers and legal counsel where needed.
  • Perform other ad-hoc corporate and compliance-related duties.

Desired Skills & Competencies

  • Corporate Secretarial qualification (e.g. ICSA / Chartered Secretary / HKCGI) required.
  • Minimum 8–10 years of corporate secretarial experience, with regional exposure and familiarity with the governance expectations of a company operating at a public or pre-public stage. Ideally with exposure to HKEX-listed companies.
  • Strong knowledge and familiarity with both Singapore and Hong Kong corporate regulatory frameworks.
  • Excellent stakeholder management skills with the ability to operate with discretion and sound judgment.
  • Strong written and verbal communication skills with attention to detail and the ability to draft high-quality corporate documentation.
  • Proficient in English and Mandarin to liaise with regional stakeholders.
  • Highly organized, proactive, responsible and able to manage multiple priorities under pressure.
