Position Overview: We are seeking an experienced Corporate Secretary (Maternity Cover - 6 months) to join our Legal and Compliance team. The successful candidate will be responsible for managing the creation, maintenance, and dissolution of corporate and client vehicles incorporated in Singapore and elsewhere, ensuring compliance with all relevant laws and regulations.
Responsibilities: Working with external service providers, manage the creation of new corporate entities, including preparation and filing of necessary documentation.
Maintain accurate and up-to-date corporate records for all entities.
Ensure compliance with applicable statutory requirements and internal policies.
Coordinate with external service providers on annual filings, returns, and other regulatory submissions.
Oversee the dissolution process for corporate and client vehicles when required.
Liaise with internal stakeholders (including Investor Accounting and Finance, Corporate Finance and Tax), external corporate secretarial service providers, external legal counsel, and regulatory bodies as needed.
Provide guidance on corporate governance matters to senior management and directors and officers of corporate and client vehicles.
Prepare and review board resolutions, minutes, and other corporate documents as and when required.
Manage corporate seals and share certificates.
Maintenance of corporate records and entity management system.
Stay informed about changes in relevant laws and regulations across major jurisdictions in Asia Pacific as well as Cayman Islands and British Virgin Islands.
Required Qualifications & Experience: Minimum 6 years of relevant work experience, preferably within a multinational organization.
Professional qualification in Company Secretarial practice preferred (e.g. ISCA / CGI).
Experience in international corporate and fund structuring preferred.
Basic knowledge of corporate tax principles (e.g. relating to board meetings and composition).
Familiarity with AML and KYC procedures preferred.
Strong communications, project management and liaison skills.
Good working knowledge of corporate law and governance practices.
Excellent attention to detail and organizational skills
Proficiency in Microsoft Office suite and familiarity with entity management software
Outstanding written and verbal communication skills
Ability to work independently and as part of a team
