Role Overview
The General Counsel will be responsible for the company’s legal matters across, transactions, corporate, and project development activities across Southeast Asia. The role will provide practical and commercially focused legal advice across investments, M&A, project development, financing, construction, operations, and strategic partnerships.
This position requires a hands-on legal professional with strong experience in renewable energy, infrastructure, project finance, and cross-border transactions who can operate effectively in a fast-paced and entrepreneurial environment.
Key Responsibilities
Transaction & Corporate Legal Support
- Support acquisitions, joint ventures, strategic investments, and project financing transactions across Southeast Asia.
- Review, draft, and negotiate transaction documentation including NDAs, term sheets, share purchase agreements, shareholder agreements, financing agreements, and project contracts.
- Support legal due diligence activities for investments, acquisitions, and development partnerships.
- Coordinate with external legal counsel across multiple jurisdictions.
Project Development & Commercial Support
- Support project development activities including land agreements, development agreements, permitting support, EPC contracts, O&M agreements, interconnection agreements, and off take arrangements.
- Provide legal support for renewable energy auctions, tender submissions, and project development activities.
- Assist business development and project development teams on commercial negotiations and contractual risk assessments.
Corporate Governance & Compliance
- Support corporate governance, entity management, board approvals, and compliance activities across regional markets.
- Monitor legal and regulatory developments impacting renewable energy and infrastructure investments across ASEAN markets.
- Assist with implementation of internal policies, compliance frameworks, and governance procedures.
- Support ESG, anti-bribery, sanctions, and compliance-related initiatives.
Risk Management
- Identify and manage legal, contractual, and regulatory risks across the company’s development and operational activities.
Requirements
- Qualified lawyer in a recognized jurisdiction.
- 7-10+ years of experience in renewable energy, infrastructure, project finance, corporate law, or M&A.
- Experience within IPPs, infrastructure funds, utilities, law firms, or renewable energy developers preferred.
- Strong experience reviewing and negotiating commercial and transaction documentation.
- Familiarity with renewable energy project structures and project finance transactions.
- Practical experience and understanding of legal and regulatory frameworks across Southeast Asia preferred.
- Strong commercial acumen and practical legal judgment.
- Ability to manage multiple workstreams across different jurisdictions.
- Excellent communication and stakeholder management skills.
