Purpose of the role
Provision of all provision of strategic legal advice, leadership of transaction execution and investment consortium arrangements and responsibility for corporate securities matters for Brookfield Property Group and its associated funds.
Responsibilities
Primary focus will be in Japan, with a secondary focus on South Korea, South-East Asia and regional initiatives. The role will include working across integrated teams across the greater Asia Pacific region.
Acquisitions and disposals
Responsibility for execution on the full range of issues that arise in complex, multi-faceted transactions, across all sectors and transaction types, including private and public company mergers and acquisitions, lending and structured finance
Manage and advise on legal and commercial risks associated with transactions, their potential impact and suggested mitigating actions, including conflicts matters and fund compliance matters
Advise on accurate interpretation of contract documents, bond indentures and other relevant documents in conjunction with prospective investments, existing portfolio companies as well as in conjunction with supporting the real estate group operation and finance team
Review and advise on capital management initiatives and documentation
Other
Stay abreast of Brookfield's broader strategy and legal developments affecting the Real Estate group, its clients, and industries and synthesize the information to incorporate it into the group's transactional and governance practices
Litigation support as needed Management of specific external legal engagements, liaison with external legal advisers as required, review of legal advice issued by external legal advisers and communication of such advice to internal stakeholders
Form collaborative relationships with relevant personnel from the management team and across the Brookfield Group functions such as Tax, Accounting, Risk, and Compliance
Oversee and provide guidance and support as needed to lawyers in the Real Estate Group across the region
Other ad hoc projects and duties as required
Qualifications
Tertiary qualifications in Legal related discipline
Bilingual fluency in both Japanese and English
Experience
Minimum of five to seven years solid M&A, finance, equity capital markets or debt capital markets legal experience working within top-tier law firm and/or large multinational organisations
Strong understanding of complex and growing organisational structure
Sound judgement and commercial acumen
Good understanding of various types of legal structures including GKs, TMKs and ISHs
Excellent technical and drafting skills, meticulous attention to detail
Understanding of the Brookfield culture and values
Ability to manage high levels of detailed/complex work.
Ability to think through legal and compliance consequences with all processes, putting in place appropriate pathways for outcomes being sought.
