Lead Corporate & Strategic Partnerships Counsel (Contract)

About the Role

We are seeking an experienced and internationally qualified legal professional to serve as Lead Corporate & Strategic Partnerships Counsel. This role will provide legal leadership on complex commercial transactions, strategic partnerships, cross-border business initiatives, corporate finance matters, and international regulatory considerations.

The ideal candidate possesses strong training in corporate and finance law, substantial exposure to multinational transactions, and demonstrated experience advising senior stakeholders across multiple jurisdictions. This position offers the opportunity to work closely with business leaders, external counsel, regulators, and strategic partners in a fast-paced international environment.

Key Responsibilities

Strategic Partnerships & Commercial Transactions

• Lead legal support for strategic partnerships, commercial collaborations, and cross-border business initiatives.
• Draft, review, negotiate, and advise on complex commercial agreements.
• Provide practical legal guidance to business stakeholders on partnership structures, commercial risk allocation, and contractual obligations.
• Support negotiation strategies for high-value international business arrangements.

Corporate & Finance Advisory

• Advise on corporate governance, corporate finance, and transactional matters.
• Support business expansion initiatives across multiple jurisdictions.
• Provide legal guidance on financing structures, investment-related transactions, and corporate restructuring projects where required.
• Work closely with finance, compliance, and operational teams on legal aspects of business activities.

Cross-Border Transactions

• Support international mergers, acquisitions, joint ventures, and strategic investments.
• Coordinate with external counsel across different jurisdictions.
• Identify and mitigate legal risks associated with international transactions.
• Assist with legal due diligence and transaction execution.

Regulatory & Risk Management

• Monitor legal and regulatory developments affecting international business operations.
• Advise management on legal, regulatory, and governance considerations.
• Support internal policy development and implementation.
• Strengthen legal risk management frameworks and documentation standards.

Stakeholder Management

• Serve as a trusted legal advisor to senior business stakeholders.
• Manage relationships with external law firms, consultants, and regulatory stakeholders.
• Collaborate with cross-functional teams including finance, compliance, operations, and business development functions.
• Deliver practical, commercially focused legal solutions aligned with business objectives.

Required Qualifications

• LL.B. from a recognized university and LL.M. with specialization in Banking, Corporate, Finance, Securities Law, or related disciplines.
• Must have min 3 years of experience working in Singapore in similar or related fields
• PRC Legal Professional Qualification (Bar).
• Experience in corporate, finance, commercial, or cross-border legal practice.
• Strong understanding of corporate transactions, finance law, and international legal frameworks.

Strongly Advantageous Qualifications

• Experience working in international law firms or multinational corporate environments.
• Exposure to cross-border M&A, joint ventures, strategic partnerships, and international commercial transactions.
• Experience supporting rapidly growing international businesses.
• Prior involvement with financial services, capital markets, or corporate finance matters.

Multilingual Legal Capability

Professional ability to operate in:

• English, Mandarin, Cantonese, Any European language (preferred) for effective in cross-border legal negotiations, stakeholder management and multinational stakeholder environments as the clients are operating mainly in China / Greater China.
